1. Introduction and Agreement
1.1. These Terms and Conditions ("Terms") constitute a legally binding agreement between Annapurna Express Remit Pty Ltd ("AERemit", "we", "us", or "our") and the registered user ("User", "Customer", "you", or "your") accessing or using our digital remittance and payment platform via https://aeremittance.com or associated mobile applications.
1.2. AERemit is an Australian proprietary company registered with the Australian Transaction Reports and Analysis Centre (AUSTRAC) as an independent remittance dealer and remittance network provider.
1.3. By registering an account, submitting an onboarding verification, or initiating a transaction, you agree to be bound by these Terms, our Privacy Policy, and any applicable partner product disclosure schedules. If you do not agree to these Terms, you must immediately cease access to our platform.
2. Our Relationship with Payment Partners (Zai Australia)
2.1. AERemit partners with regulated financial institutions, clearing houses, and third-party payment service providers—including Zai Australia Pty Ltd ("Zai")—to provide acquiring, pay-in collection rails (such as PayID, NPP, and direct debit), virtual accounts, and domestic clearing.
2.2. When you execute an inbound payment or collection within Australia, you acknowledge that payment rails are facilitated through Zai’s infrastructure. You authorize AERemit and Zai to initiate, hold, clear, and reconcile electronic payment instructions on your behalf in accordance with the transaction parameters entered by you.
3. Account Registration, Identity Verification & KYC (AUSTRAC)
3.1. To use our services, you must be at least 18 years old and legally resident in Australia or an authorized representative of an Australian-registered legal entity.
3.2. Statutory Customer Due Diligence (CDD): In compliance with the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) (AML/CTF Act) and AML/CTF Rules, you must complete our Customer Identification Program (CIP) prior to activating your account or executing any remittance:\
• You must provide true, accurate, and current personal identification details (including full legal name, residential address, date of birth, and nationality).
• You must supply valid government-issued photo identification (e.g., Australian driver licence, passport, or foreign passport) and consent to automated electronic biometric liveness and document integrity verification (via technology partners such as Plaid and the Document Verification Service).
3.3. Corporate Accounts (KYB): For business accounts, you must provide official company extracts (such as an ASIC Current Company Extract), proof of trading address, and identify all Ultimate Beneficial Owners (UBOs) holding 25% or greater ownership or significant managerial control.
3.4. We reserve the right to request proof of Source of Funds (SoF) or Source of Wealth (SoW) and to suspend or terminate any account that fails ongoing due diligence or verification checks.
4. Permitted Remittance Services & Fund Flows
4.1. 100% Cashless Operations: AERemit operates strictly on a cashless, digital-first model. We do not accept physical cash deposits, bank cheques, or storefront cash handovers in Australia or destination countries. All pay-ins and payouts must occur electronically.
4.2. Prefunded Payout Execution: Cross-border remittances (primarily to Nepal, India, and adjacent South Asian corridors) are executed using our prefunded payout model and local institutional banking networks (such as NIC Asia Bank and Muthoot Finance).
4.3. Transaction Authorisation: When you submit a remittance instruction, you authorize us to collect the specified Australian Dollar (AUD) amount from your nominated bank account or card and disburse the converted foreign currency to your designated beneficiary.
4.4. Execution & Delivery Times: Estimated delivery times displayed during checkout are dynamic and corridor-dependent. While prefunded liquidity typically enables real-time or same-day (T+0) settlement, clearing times may vary based on destination bank operating hours, public holidays, or intermediary clearing delays.
5. Foreign Exchange (FX) and Pricing
5.1. Exchange Rates: AERemit provides competitive exchange rates that include a margin/spread above wholesale foreign exchange market rates. The applicable exchange rate and all associated service fees will be presented to you before you confirm your transfer.
5.2. Rate Guarantees & Spot Trades: The displayed exchange rate is guaranteed only for the duration specified on the transaction checkout screen (typically 15 to 30 minutes). If your payment is not received within the required window, the transaction may be cancelled or re-quoted at the prevailing spot rate.
5.3. AERemit does not offer speculative derivatives, forward contracts, or margin trading services.
6. Prohibited Activities & Restricted Industries
6.1. You must not use our platform, collection accounts, or payment rails for any unlawful, fraudulent, or high-risk activity.
6.2. In accordance with Australian law, AUSTRAC mandates, and our contractual commitments to Zai and upstream banking rails, AERemit enforces a zero-tolerance prohibition on the following sectors:
• Any transactions involving cryptocurrency, virtual assets, stablecoins (e.g., USDT, USDC), or crypto-asset exchanges;
• Electronic gambling, betting, casinos, lottery syndicates, or wagering;
• Weapons, firearms, ammunition, and defense goods;
• Adult entertainment, sexually explicit services, or escort services;
• Unregulated money remittance, Hawala/Hundi systems, or shell corporate routing;
• Transactions involving individuals or entities on Australian Department of Foreign Affairs and Trade (DFAT) sanctions, United Nations sanctions, or OFAC watchlists. 6.3. Any transaction identified as violating these restrictions will be immediately blocked, payout suspended, and reported to AUSTRAC via a Suspicious Matter Report (SMR) where required by law.
7. Cancellations, Refunds, and Chargebacks
7.1. Cancellations by You: You may cancel a transfer only if the funds have not yet been disbursed to the beneficiary bank or payout partner. Once funds have been credited to the recipient's account, the transaction is irrevocable and cannot be cancelled or refunded.
7.2. Inaccurate Beneficiary Details: You are solely responsible for verifying the accuracy of beneficiary names, bank account numbers, IFSC codes, and routing details. AERemit is not liable for misrouted funds or delays resulting from incorrect details provided by you. If funds are returned by a destination bank, we will refund the principal amount to your original payment method, less any non-refundable banking or transmission costs incurred.
7.3. Chargebacks & Reversals: If a pay-in is disputed, reversed, or charged back by your bank, you remain fully liable to reimburse AERemit for the full transaction amount plus any administrative reversal fees incurred.
8. Statutory Disclosures, AUSTRAC Reporting & Data Retention
8.1. Regulatory Reporting: As an Australian reporting entity, AERemit is legally obligated under the AML/CTF Act to report certain transactions to AUSTRAC, including:
• International Funds Transfer Instructions (IFTIs) for cross-border remittances;
• Threshold Transaction Reports (TTRs) where applicable;
• Suspicious Matter Reports (SMRs) where grounds for suspicion exist.
8.2. Statutory Tipping-Off Prohibition: Under Section 123 of the AML/CTF Act, AERemit is strictly prohibited from informing you or any third party if an SMR or related compliance inquiry has been filed with AUSTRAC.
8.3. Record Retention: Under Section 106 of the AML/CTF Act, customer identification documentation, transaction records, and audit logs are retained for a minimum statutory period of seven (7) years following the date the transaction occurred or the customer account was closed.
9. Intellectual Property & Brand Alignment
9.1. All intellectual property, trademarks, software code, UI designs, and digital content on [https://aeremittance.com](https://aeremittance.com) are owned by or licensed to Annapurna Express Remit Pty Ltd and its common-control platform group (Unlimited Remit).
9.2. Where services are integrated via partners, agents, or white-label implementations, all touchpoints must clearly identify that transactions are cleared under the regulated authority of Annapurna Express Remit Pty Ltd.
10. Limitation of Liability
10.1. To the maximum extent permitted under the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law), AERemit will not be liable for any indirect, incidental, punitive, or consequential losses, loss of business profits, or loss of exchange advantage arising out of:
• Scheduled or unscheduled platform maintenance;
• Compliance holds, AUSTRAC statutory reviews, or anti-fraud blocks executed in good faith;
• Delays caused by third-party domestic clearing rails (e.g., Zai, NPP, BPAY) or overseas correspondent banking networks. 10.2. Where consumer guarantees cannot be excluded by law, AERemit's total aggregate liability for direct damages arising under or in connection with any individual transaction is strictly limited to re-supplying the remittance service or refunding the processing fees collected for that specific transaction.

11.2. Resolution Timelines:
• We will acknowledge receipt of your complaint within 24 hours.
• We aim to resolve standard payment and account complaints within three (3) business days.
• For complex investigations requiring corridor or partner tracing, we will issue a formal written finding within 15 business days (up to a statutory maximum of 30 days).
11.3. External Dispute Escalation: If your complaint cannot be resolved to your satisfaction, you have the right to escalate your dispute to the Australian Financial Complaints Authority (AFCA):

12. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of New South Wales / the Commonwealth of Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Australia for any legal claim or proceeding arising out of these Terms.
